What happens to System Supplies after the Deer Solution franchise agreement is terminated?

Upon expiration, termination, or Transfer of this Agreement for any reason, Franchisee shall immediately:
- (3) Permanently cease to use, in any manner: (c) System Supplies, including communicating with or ordering products from Franchisor's designated suppliers and vendors of System Supplies;
"System Supplies" refers to and means the equipment and supplies designated by Franchisor as required for use in connection with Franchisee's Deer Solution Business and the Approved Services and Products. Without limitation to the foregoing, the System Supplies shall include Deer Solution branded, non-branded and third party branded equipment and supplies designated by Franchisor for use in the day-to-day operations of Franchisees Deer Solution Business including, among other things: equipment, deer repellent, materials, uniforms, stationary, sales slips, receipts, customer notices and other forms and materials, designated by Franchisor in the Operations Manual and/or otherwise in writing and, as may be modified and supplemented by Franchisor from time to time in Franchisor's Reasonable Business Judgment. System Supplies shall further include those products that Franchisor authorizes for sale to customers of Franchisee's Deer Solution Business.

According to Deer Solution's 2025 Franchise Disclosure Document, upon termination or expiration of the Franchise Agreement, the franchisee must immediately cease using System Supplies. This includes refraining from communicating with or ordering products from Deer Solution's designated suppliers and vendors. System Supplies are defined as the equipment and supplies designated by Deer Solution as required for use in connection with the franchisee's Deer Solution Business and the Approved Services and Products.
System Supplies include Deer Solution branded, non-branded, and third-party branded equipment and supplies designated by Deer Solution for the day-to-day operations of the franchisee's Deer Solution Business. These supplies include equipment, deer repellent, materials, uniforms, stationary, sales slips, receipts, customer notices, and other forms and materials designated by Deer Solution in the Operations Manual or in writing, and as may be modified and supplemented by Deer Solution. System Supplies also include those products that Deer Solution authorizes for sale to customers of the franchisee's Deer Solution Business.
This means that a franchisee who leaves the Deer Solution system, whether through choice or due to a breach of contract, cannot continue to operate a similar business using Deer Solution's proprietary supplies and branding. This protects Deer Solution's brand identity and ensures consistent quality across all franchise locations. The franchisee must find alternative suppliers and rebrand their business if they wish to continue operating in the same industry.
