What This Means (2025 FDD)

According to Deer Solution's 2025 Franchise Disclosure Document, a franchisee must immediately stop using the Confidential Information upon the expiration, termination, or transfer of the Franchise Agreement. This obligation extends beyond the initial term of the agreement. This means that once the agreement ends, regardless of the reason, the franchisee loses all rights to utilize Deer Solution's proprietary information.

This requirement is a standard practice in franchising, designed to protect the franchisor's intellectual property and maintain the integrity of the brand. The definition of "Confidential Information" is broad, encompassing trade secrets, methods, standards, techniques, procedures, data, and information related to the Deer Solution business. This includes marketing strategies, customer lists, operating results, and the contents of the Operations Manual.

For a prospective Deer Solution franchisee, this means understanding that the knowledge and systems they gain access to during the franchise term are not theirs to keep indefinitely. Upon termination or expiration, they must cease using all aspects of the Deer Solution system. Failure to comply with this provision could result in legal action by Deer Solution to protect its confidential information and trade secrets. This underscores the importance of carefully considering the terms of the franchise agreement and the potential implications of its termination or expiration.
