What This Means (2025 FDD)
According to the 2025 Deer Solution Franchise Disclosure Document, a franchisee's ability to disclose confidential information is restricted. The franchisee must ensure that their owners and spouses execute and deliver a Franchise Owner and Spouse Agreement and Guaranty to Deer Solution. Additionally, any directors, officers, employees, and agents who require access to confidential information for the business's operations must have previously signed and delivered a Confidentiality Agreement to Deer Solution.
Deer Solution emphasizes the importance of maintaining the confidentiality of its proprietary information. Unauthorized disclosure of confidential information by a franchisee can lead to significant consequences, including termination of the franchise agreement. This underscores the need for franchisees to implement robust measures to protect sensitive data and ensure that all relevant parties are aware of and comply with the confidentiality obligations.
Deer Solution franchisees are explicitly prohibited from disclosing the contents, data, or information contained in the Operations Manual to any third party not authorized by Deer Solution. Similarly, franchisees cannot disclose Confidential Information to any third party without proper authorization from Deer Solution. This includes, but is not limited to, methods, specifications, customer lists, and financial data related to the Deer Solution Business. Franchisees are responsible for taking reasonable steps to prevent unauthorized use or disclosure of confidential information, as directed by Deer Solution.
These restrictions are typical in franchising to protect the brand's competitive advantage and proprietary systems. Prospective Deer Solution franchisees should carefully review the Confidentiality Agreement and understand their obligations to safeguard sensitive information. They should also ensure that all employees and agents who have access to confidential information are properly trained and bound by confidentiality agreements.
