What This Means (2025 FDD)

According to Deer Solution's 2025 Franchise Disclosure Document, franchisees may face competition from various sources, including other franchisees, outlets that Deer Solution owns, or other channels of distribution or competitive brands that Deer Solution controls. This means that even within a franchisee's designated operating territory, Deer Solution retains the right to operate or franchise other businesses, potentially creating direct competition. While Deer Solution states that it does not plan to operate or franchise a business under different trademarks that sell similar goods or services, the possibility of competition from other channels remains.

Deer Solution also reserves significant rights regarding alternative channels of distribution. They can use the Licensed Marks and System to distribute approved services and products, or similar ones, through avenues like the internet, catalog sales, telemarketing, or other direct marketing sales, both within and outside a franchisee's operating territory. Additionally, Deer Solution can use the Licensed Marks and System to distribute approved services and products in captive market sites, such as malls or transportation centers, and for corporate accounts, regardless of territory boundaries.

Deer Solution franchisees are restricted from directly soliciting customers outside their operating territory. Franchisees must operate their Deer Solution Business and provide approved services and products exclusively within their Operating Territory. The marketing of the Deer Solution Business must be targeted to the franchisee's Operating Territory and they are not permitted to directly solicit customers outside of their Operating Territory.

These stipulations highlight the importance of understanding the scope and limitations of the operating territory granted to Deer Solution franchisees. While franchisees are given a designated area, Deer Solution retains considerable control over distribution channels and competitive brands, which could impact a franchisee's market share and profitability. Prospective franchisees should carefully consider these factors and evaluate the potential for competition within their territory before investing in a Deer Solution franchise.
