- (4) If at the time of execution of this Agreement an Advertising Cooperative has been established for a geographic area that includes, in whole or in part, Franchisee's Deer Solution Business location or Operating Territory, or if such Advertising Cooperative is established during the Term of this Agreement, Franchisee shall fully participate in the Advertising Cooperative and Franchisee shall execute, at the request of Franchisor, all documents required by Franchisor and Franchisee shall become a member of the Advertising Cooperative subject to the terms of those documents;

What This Means (2025 FDD)
According to Deer Solution's 2025 Franchise Disclosure Document, if a franchisee's Deer Solution business location or operating territory is within the geographic area of an established or newly established Advertising Cooperative, the franchisee must participate in the cooperative. To become a member, the franchisee must execute all documents required by Deer Solution. The franchisee is then subject to the terms outlined in those documents.
Franchisees are also obligated to contribute financially to the Advertising Cooperative. The amount is determined by the Advertising Cooperative itself, but these contributions count toward the franchisee's minimum local marketing obligations as detailed in Article 9.B of the Franchise Agreement. However, the contribution cannot exceed the franchisee's local minimum marketing obligations.
Deer Solution retains significant control over the Advertising Cooperative. The franchisor has the right to authorize, establish, designate, and de-authorize these cooperatives. Furthermore, all marketing programs and media developed by the cooperative are subject to Deer Solution's review and approval, ensuring brand consistency and adherence to the franchisor's standards. Franchisees should request a sample of the documents required for Advertising Cooperative membership from Deer Solution to fully understand their obligations.
