What This Means (2025 FDD)
According to Deer Solution's 2025 Franchise Disclosure Document, 'Reasonable Business Judgment' significantly influences decisions about 'Approved Services and Products.' Deer Solution retains the exclusive right to designate and determine these approved offerings. This means Deer Solution decides which products and services franchisees can sell.
Deer Solution can, using its 'Reasonable Business Judgment,' change, modify, reduce, or supplement the 'Approved Services and Products' that a franchisee must or cannot offer. The specific list of 'Approved Services and Products' is detailed in the Operations Manual, which Deer Solution can modify over time. Franchisees are restricted to only offering and selling these 'Approved Services and Products'.
This clause grants Deer Solution considerable control over the products and services franchisees can provide, impacting their potential revenue streams and service offerings. A prospective franchisee should carefully consider this aspect, as it limits their autonomy in choosing which services or products to offer based on local market demands or personal expertise. It also means Deer Solution's decisions, even if other options seem reasonable, will take precedence, and challenging these decisions requires proving Deer Solution did not exercise reasonable business judgment, which can be a difficult legal hurdle.
