Besides the Deer Solution business, in what other business or capacity can I use the Confidential Information?

According to Deer Solution's 2025 Franchise Disclosure Document, franchisees are explicitly restricted from using the Confidential Information in any business or capacity other than their Deer Solution franchise. This restriction applies both during the term of the Franchise Agreement and after its expiration or termination.

The Confidential Information includes a wide array of proprietary details related to the Deer Solution business, such as methods, specifications, standards, policies, procedures, information, concepts, programs, and systems for development, marketing, and operation. It also encompasses customer-related data like customer lists, email lists, database lists, product sales, operating results, and financial performance. Additionally, it includes Business Management System Data and the contents of the Operations Manual.

This restriction is further reinforced by the requirement that franchisees take reasonable steps to prevent unauthorized use or disclosure of the Confidential Information and to cease using it immediately upon the agreement's expiration, termination, or transfer. Franchisees must also ensure that their owners, spouses, directors, officers, employees, and agents who have access to Confidential Information due to their roles within the Deer Solution business also adhere to these confidentiality obligations by signing a Confidentiality Agreement.
