What This Means (2024 FDD)
According to Deck Medic's 2024 Franchise Disclosure Document, when you sign the Franchise Owner and Spouse Agreement and Guaranty, you are bound individually, jointly, and severally with all other signatories, regardless of whether the agreement is signed in counterparts or electronically. This means that each person signing the agreement is fully responsible for all obligations, and Deck Medic can pursue any one or all of the signatories for the full amount of any debt or non-compliance. This obligation exists because Deck Medic relies on this agreement to enter into the Franchise Agreement with the franchisee.
As an owner or spouse of an owner, you acknowledge that the agreement personally obligates you to guarantee the franchisee's obligations to Deck Medic. This includes financial obligations, as well as adherence to brand protection, confidentiality, and non-competition restrictions. Your agreement induces Deck Medic to grant the franchise to the franchisee, and without it, Deck Medic would not enter into the Franchise Agreement.
This arrangement is typical in franchising, where franchisors seek to ensure that franchisees meet their obligations. By requiring owners and spouses to personally guarantee the franchisee's performance, Deck Medic aims to mitigate the risk of non-compliance or default. Prospective franchisees should carefully review the Franchise Owner and Spouse Agreement and Guaranty with legal counsel to fully understand the scope of their obligations and potential liabilities.
In essence, by signing the Franchise Owner and Spouse Agreement and Guaranty, you are making a legally binding commitment to support the franchisee's obligations to Deck Medic. This commitment extends to financial responsibilities, protection of confidential information, and adherence to non-competition covenants. It is crucial to understand that this agreement is a key factor in Deck Medic's decision to grant the franchise and that your personal assets may be at risk if the franchisee fails to meet its obligations.
