What This Means (2024 FDD)
According to Deck Medic's 2024 Franchise Disclosure Document, Deck Medic retains the right to merge or affiliate with other businesses, even those offering similar services to Deck Medic franchises. This is irrespective of whether these affiliated businesses operate within a franchisee's designated territory. Deck Medic is not obligated to provide any compensation to the franchisee in such cases.
Specifically, Deck Medic can acquire, merge, or affiliate with businesses of any kind, including those that offer similar products and services as a Deck Medic franchise. Following such a business combination, Deck Medic has the right to operate, franchise, or license others to operate these businesses, even if they compete with existing Deck Medic franchises within their operating territories. However, these businesses are not allowed to utilize Deck Medic's Licensed Marks.
Furthermore, Deck Medic can be acquired by or merge with businesses that offer similar services to Deck Medic franchises, even if these businesses already operate or franchise similar businesses within a franchisee's territory. This clause protects Deck Medic's ability to grow and evolve, but it also introduces a potential risk for franchisees. Deck Medic's reserved rights also include the ability to use the Licensed Marks and System to distribute approved services and products through alternative channels, such as the internet or telemarketing, within or outside a franchisee's operating territory.
This arrangement means that while a Deck Medic franchisee is granted a designated operating territory, this territory is not exclusive in the sense that it is protected from competition stemming from Deck Medic itself or businesses affiliated with Deck Medic. Prospective franchisees should carefully consider this aspect, as it could impact their business's potential and profitability. It is important to understand the scope of these reserved rights and how they might affect the franchisee's operations within their territory.
