"Licensed Marks" refers to and means the trademarks, service marks, emblems and indicia of origin, including the "Deck Medic" trademark, the Deck Medic logo, Trade Dress, and other trade names, service marks, trademarks, logos, slogans and designs authorized by us in connection with the identification of Deck Medic Businesses and the Approved Services and Products, provided that such trade names, trademarks, service marks, logos and designs are subject to modification, replacement and discontinuance by us in our Reasonable Business Judgment.

What This Means (2024 FDD)

According to Deck Medic's 2024 Franchise Disclosure Document, the trademarks, service marks, emblems, and indicia of origin, including the "Deck Medic" trademark, Deck Medic logo, Trade Dress, and other trade names, service marks, trademarks, logos, slogans and designs authorized by the franchisor are subject to modification, replacement, and discontinuance. These changes can be made by Deck Medic in their Reasonable Business Judgment.

This means that Deck Medic retains the right to update or change its branding elements, including the company's name, logo, and overall trade dress. This is a fairly standard practice in franchising, as franchisors need the flexibility to adapt to market changes, protect their brand identity, and maintain consistency across the franchise system.

For a prospective franchisee, this implies that the branding and marketing materials they initially invest in may need to be updated or replaced during the term of their franchise agreement. While Deck Medic is expected to exercise reasonable business judgment, franchisees should be prepared for potential costs associated with rebranding or adopting new marketing strategies as directed by the franchisor. It would be prudent for a potential franchisee to inquire about the frequency and potential costs associated with such changes during their due diligence.
