- 2. Definitions. For purposes of this Agreement, the following terms have the meanings given to them below:
- "Business Management System" refers to and means the software and/or internet or cloud based system and/or systems, point of sale system or systems and customer relationship management system or systems as used in connection with the operations of the Deck Medic Business.
- "Business Management System Data" refers to and means the forms, data, tools, customer information, inventory and sales information, and other information that is entered into and/or maintained on the Business Management System of the Deck Medic Business.
- "Confidential Information" refers to and means: (a) non-public methods, specifications, standards, policies, procedures, information, concepts, programs and systems relating to the development, establishment, marketing, promotion and operation of the Deck Medic Business; (b) information
concerning customers, customer lists, email lists, database lists, product sales, operating results, financial performance and other financial data of the Deck Medic Business; (c) customer lists and information related to the Deck Medic Business; (d) Business Management System Data;

Examples of Confidential Information include non-public methods, specifications, standards, policies, procedures, information, concepts, programs, and systems related to the development, establishment, marketing, promotion, and operation of the Deck Medic business. It also encompasses information about consumer preferences for services, products, materials, and supplies used or sold by Deck Medic, as well as specifications for and knowledge of suppliers of certain materials, equipment, products, supplies, and procedures used or sold by Deck Medic Businesses. Customer-related data, such as customer lists, email lists, database lists, product sales, operating results, financial performance, and other financial data, are also considered confidential.
Additionally, the definition extends to Business Management System Data, which includes forms, data, tools, customer information, inventory and sales information maintained on Deck Medic's Business Management System. Current and future information contained in the Deck Medic Operations Manual, as well as the franchisor's trade secrets and proprietary information (Know-How) relating to the Deck Medic business, are also classified as Confidential Information. Franchisees are obligated to protect this information both during the term of their agreement and after its expiration or termination.
