What This Means (2024 FDD)

According to Deck Medic's 2024 Franchise Disclosure Document, franchisees are required to sign documents to protect Deck Medic's interests in its licensed marks. Specifically, a Deck Medic franchisee must sign all documents, instruments, and agreements that Deck Medic, with the advice of its legal counsel, deems necessary or advisable for the protection and maintenance of its interests in the Licensed Marks. This obligation extends to any legal or administrative proceeding, or as otherwise determined by Deck Medic. Deck Medic will reimburse the franchisee for reasonable out-of-pocket administrative expenses incurred while complying with these written instructions.

This requirement ensures that Deck Medic can take swift and comprehensive action against any potential infringement or misuse of its trademarks. By mandating that franchisees sign necessary documents, Deck Medic aims to maintain control over its brand and protect its intellectual property rights. This is a fairly standard practice in franchising, as franchisors need to ensure consistent brand representation and protect their trademarks across all franchise locations.

It is important for prospective Deck Medic franchisees to understand that they are obligated to cooperate fully with Deck Medic in any legal or administrative matters related to the Licensed Marks. While Deck Medic will cover reasonable out-of-pocket administrative expenses, franchisees should be prepared to dedicate time and effort to these matters. Franchisees should also be aware that Deck Medic has the sole right to control any litigation, legal proceedings, administrative proceedings, and/or settlements involving any actual or alleged infringement, challenge, or claim relating to the Licensed Marks.
