Answer from 2024 FDD Document

Franchisee agrees that the failure (whether with or without Franchisor's permission) of any other franchisee to make the appropriate amount of contributions to the National Advertising Fund shall not in any way release Franchisee from or reduce Franchisee's obligations under this Article 9, such obligations being separate and independent obligations of Franchisee under this Agreement.

What This Means (2024 FDD)

According to Deck Medic's 2024 Franchise Disclosure Document, a franchisee's obligation to contribute to the National Advertising Fund is independent of other franchisees' contributions. The agreement specifies that if another franchisee fails to make the appropriate contributions, with or without Deck Medic's permission, it does not release or reduce the franchisee's own obligations under Article 9. This means each Deck Medic franchisee is individually responsible for their advertising fund contributions, regardless of the compliance of other franchisees within the system.

This clause protects Deck Medic's National Advertising Fund from potential shortfalls due to non-compliant franchisees. It ensures that the fund receives the expected contributions, allowing Deck Medic to maintain its advertising and marketing efforts without disruption. For a prospective franchisee, this means they cannot withhold or reduce their contributions based on the actions of other franchisees; they are still obligated to pay the National Advertising Fund fee as a percentage of their gross sales, as determined by Deck Medic.

This type of clause is common in franchise agreements to ensure the financial stability of the National Advertising Fund. It highlights the importance of understanding all obligations outlined in the franchise agreement, as failure to meet these obligations can result in penalties or other consequences, irrespective of other franchisees' actions. Deck Medic franchisees should budget accordingly and ensure timely payment of all fees to remain in compliance with the franchise agreement.
