Each Cost Cutters Store is operated pursuant to a Franchise Agreement. A copy of our Franchise Agreement is attached as Exhibit D. Under the Franchise Agreement, we grant you the right, and you accept the responsibility, to operate a Cost Cutters Store. Your Store must offer the products and services we specify in accordance with the System, and observe the mandatory specifications, standards, operating procedures, and rules we periodically specify for Cost Cutters Stores (collectively, the "Brand Standards") that we describe in our Operations Manual (together with any other manuals approved for use in the operation of the Cost Cutters, as well as all amendments and updates, the "Manual"). The System includes the operation of establishments that offer haircutting and related services in a specially designed and decorated building with distinctive fixtures, accessories and color scheme.
