What This Means (2025 FDD)

According to the 2025 Coffee News Franchise Disclosure Document, franchisees are prohibited from directly or indirectly sharing confidential information about the Coffee News format, operational methods, advertising strategies, promotional activities, or any other business-related information without the franchisor's explicit written consent. This restriction extends beyond the duration of the franchise agreement, remaining in effect even after termination, expiration, transfer, or assignment of the agreement.

To ensure compliance, Coffee News franchisees must require their employees, officers, key personnel, agents, or stockholders to sign a non-disclosure or confidentiality agreement. This agreement legally binds these individuals to the same confidentiality terms as the franchisee, making them liable for damages, attorney fees, and court costs if the franchisor has to take legal action to enforce these confidentiality rights.

In practical terms, this means a Coffee News franchisee cannot participate in activities that could inadvertently lead to the dissemination of Coffee News's proprietary information to competitors. This includes, but is not limited to, consulting for a competing publication, investing in a competitor, or even casually discussing Coffee News's business strategies with individuals who might have connections to rival publications. The franchisee must actively protect Coffee News's trade secrets and ensure that anyone associated with their business does the same.
