What This Means (2025 FDD)

Based on the 2025 Coffee News Franchise Disclosure Document, Item 9, titled "Reservation of Rights," does not provide a comprehensive list of all franchisee obligations. Instead, it focuses on clarifying that Coffee News retains all rights to the Periodical not explicitly granted to the franchisee. This means that while franchisees are given specific rights to operate their franchise, Coffee News maintains control over aspects of the publication and its broader use.

Item 23 of the FDD provides a more detailed overview of franchisee obligations, covering various aspects of operations and compliance. These obligations range from providing updated outlet lists every six months to ensuring sufficient copies of the Periodical are available at each location. Franchisees must also maintain Periodical holders at each outlet and promptly replace any that are lost or damaged. Furthermore, franchisees are required to notify Coffee News of any infringements or challenges to the use of the "Coffee News" name or format.

In addition to operational requirements, Coffee News franchisees must adhere to specific guidelines regarding social media usage, compliance with laws and regulations, and the protection of confidential information. Franchisees are responsible for the content they post on social media and must ensure it complies with all applicable laws and the Coffee News Social Media Policy. They are also obligated to protect the confidential information of Coffee News and its clients. The FDD also specifies payment obligations, including weekly fees for both hardcopy and online versions of the Periodical, as well as potential postponement fees.

Prospective franchisees should carefully review Item 23 and other relevant sections of the FDD to fully understand their obligations and responsibilities. It is also advisable to seek clarification from Coffee News regarding any aspects of the franchise agreement that are unclear or require further explanation. Understanding these obligations is crucial for the successful operation of a Coffee News franchise and to ensure compliance with the franchisor's requirements.
