What This Means (2025 FDD)

According to the 2025 Coffee News Franchise Disclosure Document, Coffee News reserves significant rights regarding the content and format of the Periodical. Specifically, Coffee News retains all rights in the Periodical except those explicitly granted to the franchisee. This reservation of rights allows Coffee News to fully utilize the Periodical or assign these rights to others.

Coffee News provides franchisees with an operations manual detailing how to arrange distribution, sell advertising, design advertisements, determine pricing, and define coverage areas. The manual includes sample advertisements and office supply samples. Franchisees must also supply Coffee News with an updated list of distribution outlets and the number of Periodical copies distributed every six months. They must ensure each outlet has enough copies weekly and maintains a Periodical holder.

Additionally, franchisees must notify Coffee News of any infringements or challenges to the Coffee News name or format and are only authorized to communicate with Coffee News and its counsel regarding such issues. Coffee News, or 2703203 Manitoba Inc., has sole discretion over any related legal actions, and any resulting benefits accrue to 2703203 Manitoba Inc. Franchisees must assist in protecting Coffee News's interests. Franchisees are also required to comply with Coffee News's Social Media Policies and are responsible for their own content posted on social media, ensuring compliance with all laws and third-party terms. Coffee News is not liable for the franchisee's social media use and has no obligation to monitor compliance, although a copy of the Social Media Policy is included as part of the franchise agreement.

Upon termination of the franchise agreement, all rights to publish or use the Periodical revert to Coffee News, along with all related materials like the operations manual, advertiser lists, artwork, and back issues. This ensures Coffee News maintains control over its intellectual property and brand identity. The level of control and the obligations placed on the franchisee indicate that Coffee News maintains editorial supervision over the Periodical, ensuring consistency and quality across all franchise locations.
