What This Means (2025 FDD)

According to the 2025 Coffee News Franchise Disclosure Document, franchisees have specific obligations regarding the use of trade secrets. Coffee News franchisees are prohibited from directly or indirectly sharing any confidential information related to the Coffee News format, operational methods, advertising, promotional strategies, ideas, or any other information pertaining to Coffee News's business without obtaining written consent from the franchisor. This restriction remains in effect even after the termination, expiration, transfer, or assignment of the Franchise Agreement.

To ensure the protection of trade secrets, Coffee News franchisees must also require their employees, officers, key personnel, agents, or stockholders to sign a non-disclosure or confidentiality agreement. This agreement legally binds these individuals to the same confidentiality terms as the franchisee. If Coffee News has to take legal action to enforce these contractual rights, the franchisee will be liable for damages, reasonable attorney fees, and court costs.

This requirement is fairly standard in franchising, as franchisors need to protect their proprietary information. Prospective Coffee News franchisees should carefully review the definition of "confidential information" in the Franchise Agreement to fully understand the scope of these restrictions. Franchisees should also establish clear procedures for training their staff on confidentiality and for monitoring compliance with the non-disclosure agreements.
