What This Means (2025 FDD)

According to the 2025 Coffee News Franchise Disclosure Document, Item 17 and the franchise agreement outline the provisions for renewal, termination, transfer, and dispute resolution. A table within Item 17 summarizes key aspects of these provisions, directing prospective franchisees to specific sections of the franchise agreement and its Exhibit A for detailed information.

The FDD indicates that the franchise agreement covers various scenarios, including the term of the franchise, conditions for renewal, and the franchisee's ability to terminate the agreement. For instance, the initial franchise term is four years, with a right to renew for another four years if certain provisions are met. If a franchisee chooses to terminate, they must provide 120 days' notice, and any deposit is nonrefundable. Coffee News can terminate the agreement if the franchisee breaches any provision, but the document specifies that Coffee News will not terminate without cause.

Regarding transfers, the franchisee is generally prohibited from transferring the agreement without Coffee News's consent, which will not be unreasonably withheld. The agreement also addresses dispute resolution, stipulating that arbitration must occur within Maine unless both parties agree to an alternative location, and litigation must be pursued in the U.S. District Court for the District of Maine, under Maine law. It is important to note that only the terms of the franchise agreement are enforceable, subject to state law, and any representations or promises outside of the disclosure document and franchise agreement may not be enforceable.
