In or around January of 2021, we entered into a service agreement with Chil Consulting, a Canadian corporation, to provide Coffee News Online related services enabling Coffee News franchisees to publish a digital version of the Coffee News Publication. On January 1, 2022, we entered into a similar type agreement with Shadow Fox Consulting. Coffee News® online will retain many of the same features as the hard copy format used worldwide, but with enhanced features, making Coffee News® more accessible to readers, offering greater marketing opportunities, and generating additional advertising revenue from existing advertisers as well as restaurants at a modest cost.

According to Coffee News's 2025 Franchise Disclosure Document, Coffee News Online offers several benefits to both advertisers and restaurants. The online version retains many of the features of the hard copy format but includes enhanced features. These enhancements make Coffee News more accessible to readers and offer greater marketing opportunities for advertisers. Additionally, Coffee News Online allows franchisees to generate additional advertising revenue from existing advertisers. Restaurants also benefit, as they are allowed to advertise in the online versions, which is generally restricted in the print editions except for seasonal high seasons. This provides restaurants with an additional avenue to reach potential customers. The online platform is also mobile-ready, expanding its reach. Franchisees have the option to choose between Basic and Premium options for the Coffee News Online feature, as detailed in Section 4 of the Coffee News Franchise Agreement.

Coffee News began offering Coffee News Online as a service from Chil Consulting in Ontario, Canada, on January 4, 2021, and a second online service from Shadow Fox Consulting in Valdosta, GA, on January 1, 2022. This allows franchisees to offer an online version of Coffee News to readers within their print franchise service area. The print version of Coffee News is designed for readership in restaurants, coffee shops, and other public places where people sit, wait, and eat. The periodical competes for readership, display space, and advertising revenue with other print and online media.

Restaurants distributing Coffee News in their establishments do so as a service to their clientele, without paying or receiving any fees. Franchisees generate revenue through the sale of advertising space on weekly editions of the Periodical. While franchisees compete for advertising revenue with all other media forms in their territory, Coffee News employs strategies such as limiting advertisements to one per industry per edition and ensuring all advertisements are the same size to maximize readership. These strategies, along with the added flexibility of online advertising for restaurants, enhance the value proposition for both advertisers and distribution locations.
