What This Means (2025 FDD)
According to Closet Storage Concepts's 2025 Franchise Disclosure Document, a franchisee's rights to use the Proprietary Marks are granted solely through the Franchise Agreement. This means that the Franchise Agreement is the legal document that outlines the terms and conditions under which a franchisee can use Closet Storage Concepts's trademarks, logos, and other identifying marks. Franchisees may also have the opportunity to use future trademarks that Closet Storage Concepts may license. However, any use of these marks must be explicitly authorized by Closet Storage Concepts and adhere to their established rules, standards, and specifications, which Closet Storage Concepts can modify at its discretion.
Closet Storage Concepts retains exclusive ownership of all goodwill associated with its Proprietary Marks, and franchisees are prohibited from contesting this ownership. Franchisees cannot use the Proprietary Marks with any unauthorized products or services or in any way that is not explicitly authorized by the Franchise Agreement or otherwise approved by Closet Storage Concepts. This underscores the importance of adhering strictly to the guidelines set forth by Closet Storage Concepts to maintain brand consistency and protect the integrity of the trademarks.
Upon the expiration or termination of the Franchise Agreement, all rights for the franchisee to use the Proprietary Marks immediately cease. The franchisee cannot retain any rights to use any Proprietary Mark after the agreement ends. Furthermore, franchisees are prohibited from using any other marks, names, commercial symbols, or logo types in connection with the operation of the Franchised Business, ensuring that all branding efforts remain consistent with Closet Storage Concepts's established identity. Franchisees also cannot use the Proprietary Marks as part of a corporate name, domain name, or email address, except for those which Closet Storage Concepts licenses to them.
