What This Means (2025 FDD)
According to Closet Storage Concepts's 2025 Franchise Disclosure Document, a franchisee is explicitly prohibited from contesting the franchisor's ownership of the Proprietary Marks. The franchise agreement stipulates that all goodwill associated with the Proprietary Marks remains the exclusive property of Closet Storage Concepts. This means that franchisees cannot claim any ownership or rights to the trademarks beyond the limited usage rights granted in the Franchise Agreement.
This restriction is a standard practice in franchising, as the franchisor needs to maintain control over its brand and trademarks to ensure consistency and quality across all franchise locations. The FDD also clarifies that upon expiration or termination of the Franchise Agreement, all rights for the franchisee to use the Proprietary Marks cease, and the franchisee cannot maintain any rights to use any Proprietary Mark. This further reinforces the franchisor's exclusive ownership and control over its trademarks.
Furthermore, the document specifies that franchisees cannot use any other marks, names, commercial symbols, or logo types in connection with the operation of the Franchised Business. They are also prohibited from using the Proprietary Marks as part of a corporate name, domain name, homepage, email address, or on a website without explicit authorization. This ensures that the Closet Storage Concepts brand remains consistent and protected from unauthorized use or modification by franchisees.
