- 2.6 Franchisor's Election Not to Renew. In the event Franchisor determines that Franchisee will not have the right to exercise the renewal option referred to in Section 2.1 above, and Franchisor is unwilling to renew the Franchise granted by this Agreement, Franchisor shall forward to Franchisee, not less than nine (9) months prior to expiration, a Notice of Probable Intention Not to Renew ("Notice"). Such Notice shall set forth the acts and/or omissions of Franchisee which constitute the reasons under this Agreement that Franchisor is unwilling to renew. In the event Franchisor is convinced that Franchisee is incapable of fulfilling its obligations under this Agreement, Franchisor shall then send to Franchisee a Notice of Refusal to Renew at least six (6) months prior to the expiration of this Agreement. The notice shall state the reasons for the refusal to renew and the effective date of the expiration of this Agreement. Such Notice of Refusal to Renew shall be deemed to supersede, revoke, and otherwise withdraw the option of Franchisee to renew. In the event Franchisor is satisfied that Franchisee is able to and will correct any uncured deficiencies claimed in its Notice of Probable Intention Not to Renew, Franchisee will be so advised and will be allowed to exercise its option to renew referred to in Section 2.1 above.

What This Means (2025 FDD)
According to Closet Storage Concepts' 2025 Franchise Disclosure Document, if the Franchisor determines that the Franchisee will not have the right to exercise the renewal option, Closet Storage Concepts will send the Franchisee a Notice of Probable Intention Not to Renew at least nine months before the expiration. This notice will detail the Franchisee's acts or omissions that lead to the unwillingness to renew the agreement. If Closet Storage Concepts believes the Franchisee cannot fulfill their obligations, they will send a Notice of Refusal to Renew at least six months before the agreement expires, stating the reasons for refusal and the expiration date.
The Notice of Refusal to Renew effectively revokes the Franchisee's option to renew the agreement. However, if Closet Storage Concepts is satisfied that the Franchisee can correct any deficiencies mentioned in the initial notice, the Franchisee will be allowed to exercise their renewal option.
This process allows Closet Storage Concepts to ensure that franchisees meet the brand's standards and fulfill their contractual obligations. For a potential franchisee, this highlights the importance of maintaining compliance with the franchise agreement and addressing any issues raised by the franchisor promptly to maintain the option to renew the franchise agreement.
