Franchisor grants to Franchisee, and Franchisee accepts, all subject to the terms of this Agreement: a franchise to establish and operate one Closet & Storage Concepts business using the Closet & Storage Concepts System and the Proprietary Marks pursuant to this Agreement (the "Franchised Business").

Franchisee shall use the Proprietary Marks, participate in the promotional, advertising and marketing programs that are made available to Franchisee, and have access to certain proprietary trade secrets, marketing and business expertise of Franchisor, as they may be modified from time to time, in connection with the Franchised Business.

If Franchisor determines that demand justifies it, Franchisee may be permitted to operate a satellite location within the granted Territory pursuant to all terms and conditions of this Agreement, as applicable, unless otherwise expressly indicated.

All data pertaining to the Franchised Business, and all data created or collected by Franchisee in connection with the System, or in connection with operation of the Franchised Business (including without limitation data pertaining to or otherwise concerning customers) is and will be owned exclusively by Franchisor, and Franchisor will have the right to use such data in any manner that it deems appropriate without compensation to Franchisee, including to communicate directly to the customers of the Franchised Business, and to provide updates, information, newsletters, and special offers to customers. Upon termination of this Agreement, Franchisee shall have no further right to access or use any such information.

1.5 Exclusivity of Territory. In order to facilitate the successful development of the Franchisee's Closet & Storage Concepts business and to protect Franchisee's investment therein, Franchisor grants to Franchisee the exclusive right, except as otherwise provided herein and except to the extent inconsistent with Federal or state law, to operate the Closet & Storage Concepts business within the Territory. Except as otherwise provided herein, neither Franchisor nor any other of its franchisees shall be authorized to establish a Closet & Storage Concepts business at a location or solicit customers within the Territory. Franchisor and/or Franchisor's affiliates, retain all other rights, including without limitation, (i) the right to own, operate, franchise or license (whether in connection with a merger or acquisition or otherwise), businesses of any type operating under names other than the Proprietary Marks, regardless of whether or not these other concepts offer products and services which are similar to or competitive with those offered by the Franchised Business and regardless of location and the right to convert those locations to Franchised Businesses; and (ii) the right to be acquired by (or merge or become affiliated with) any other business operating under names other than the Proprietary Marks, including a competing business, with locations anywhere, which may result in the required conversion of Franchised Businesses.

  • 5.11.4 Franchisor shall have the exclusive right in its sole discretion to vary from the products, services or merchandise in establishing the products, services and merchandise to be offered by the Franchised Business.

Complete and detailed uniformity under many varying conditions may not always be possible or practical and Franchisor reserves the right and privilege, at its sole discretion, to vary not only the products, services and merchandise but other standards for any System franchisee based upon the customs or circumstances of a particular site or location, density of population, business potential, population of trade area, existing business practices, or any condition which Franchisor deems to be of importance to the operation of that franchisee's business.

  • 5.11.5 Franchisee shall obtain and at all times use the equipment, vehicles, software, fixtures and supplies as Franchisor specifies.

Prior to opening the Franchised Business, Franchisee shall obtain the equipment, vehicles, software, décor, fixtures and supplies as Franchisor specifies.

As any equipment, vehicle, software, fixture or any supplies become obsolete or inoperable, Franchisee shall replace the item with the types and kinds of equipment, vehicles, software, décor, fixtures and supplies then being used by new Closet & Storage Concepts System franchises at the time of replacement.

If Franchisor determines that additional or substitute equipment, vehicles, software, décor, fixtures and supplies are needed because of a change in services or merchandise offered or method of providing products or services, Franchisee shall procure the new equipment, vehicles, software, décor, fixtures and supplies within a reasonable time.

  • 5.11.6 Franchisee acknowledges that Franchisor reserves the right to develop proprietary software and/or a backroom computer system for use in connection with the Closet & Storage Concepts System.

Franchisee shall acquire computer hardware equipment, computer software, telecommunications infrastructure products and credit card processing equipment and support services as Franchisor reasonably requires in connection with the operation of the Franchised Business and all additions, substitutions and upgrades Franchisor shall specify.

Franchisee's computer system must be able to send and receive email and attachments on the Internet and provide access to the World Wide Web and otherwise support Franchisor's then-current information technology system.

What This Means (2025 FDD)

According to the 2025 Closet Storage Concepts FDD, a franchisee gains access to the Closet & Storage Concepts System and Proprietary Marks to operate their franchised business. This includes the right to use the brand's trademarks and participate in promotional, advertising, and marketing programs. Franchisees also gain access to the franchisor's proprietary trade secrets, marketing, and business expertise, which may be modified over time. This access is granted to establish and operate one Closet & Storage Concepts business.

Closet Storage Concepts grants franchisees the exclusive right to operate within their designated territory, which protects their investment. Neither the franchisor nor other franchisees can establish a business or solicit customers within this territory. However, the franchisor retains the right to operate or franchise other businesses under different names, even if they compete with Closet Storage Concepts. They also have the right to be acquired by or merge with any other business, including competitors.

Franchisees may be permitted to operate a satellite location within their granted territory if demand justifies it. To do so, they must demonstrate that the territory can support multiple locations and that additional locations won't negatively impact other franchise locations. Franchisees must also comply with the lease requirements outlined in the agreement. However, all data pertaining to the franchised business, including customer data, is owned exclusively by Closet Storage Concepts, which can use this data without compensating the franchisee. Upon termination of the agreement, the franchisee loses all rights to access or use this information.

Closet Storage Concepts also reserves the right to modify the products, services, or merchandise offered by the franchised business. Franchisees are required to use the equipment, vehicles, software, fixtures, and supplies specified by the franchisor. As items become obsolete, franchisees must replace them with the types currently used by new Closet Storage Concepts franchises. The franchisor may also require franchisees to acquire new computer hardware, software, and telecommunications infrastructure to support the Closet Storage Concepts system.
