There is currently no litigation pending involving the copyrighted materials or confidential information. We do not know of any effective material determinations of the U.S. Copyright Office or any court regarding any of the copyrighted materials or confidential information. There are no agreements in effect that significantly limit our right to use or license the copyrighted materials or confidential information.

What This Means (2025 FDD)

According to Cinnaholic's 2025 Franchise Disclosure Document, there are no agreements in effect that significantly limit Cinnaholic's right to use or license the copyrighted materials or confidential information. Cinnaholic maintains common law rights and copyright protection over various items used in the operation of the bakery, including the Operations Manual, marketing materials, specifications, architectural drawings, bakery designs, marketing techniques, advertising programs, advertising strategies, supplier lists, and expansion plans. While these materials are not registered with the United States Registrar of Copyrights, Cinnaholic treats them as trade secrets.

All materials designated as "confidential" are loaned to the franchisee during the term of the Franchise Agreement and Development Agreement. Franchisees must keep these materials confidential, preventing unauthorized copying, use outside the scope of the agreements, or disclosure to unauthorized third parties. Confidential information in the Operations Manual can only be disclosed to employees with a business need, provided they agree to maintain confidentiality.

Cinnaholic exclusively owns all copyrighted materials and confidential information, and the franchisee's right to use them is derived solely from the Franchise Agreement and Development Agreement. Unauthorized use or disclosure constitutes an infringement of Cinnaholic's rights. Cinnaholic may also claim copyright protection in certain techniques and may patent certain processes and equipment, which franchisees will be authorized to use at no additional charge if material to their obligations under the Franchise Agreement. Any modifications or improvements made to the Cinnaholic franchise system by the franchisee will be deemed works made for hire and owned exclusively by Cinnaholic, without any obligation to compensate the franchisee.
