What This Means (2025 FDD)
According to Cinnaholic's 2025 Franchise Disclosure Document, the General Release associated with the franchise agreement is governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflicts of law provisions. This means that any legal disputes arising from the General Release will be interpreted under Georgia law.
This clause is important for prospective Cinnaholic franchisees because it establishes the legal framework for resolving disputes related to the General Release. Franchisees should be aware that if they sign the General Release, Georgia law will govern its interpretation, regardless of where the franchisee is located or where the Cinnaholic franchise operates. This could have implications for how a dispute is handled and what legal precedents are applied.
It is typical for franchise agreements to specify which state's laws govern the agreement. This provides clarity and predictability in the event of a legal dispute. Franchisees should carefully review this section of the franchise agreement and understand the implications of the chosen governing law. If a franchisee is unfamiliar with Georgia law, they may want to consult with an attorney to understand their rights and obligations under the General Release.
