ITEM 15 OBLIGATION TO PARTICIPATE IN THE ACTUAL OPERATION OF THE FRANCHISE BUSINESS

You must maintain direct responsibility over the Bakery; however, we do not require that you personally supervise the day-to-day operations of the Bakery. During operations hours, a Manager who has successfully completed the initial training program described in Section 14.1 of the Franchise Agreement, must at all times be at your Bakery. The Managers must directly supervise and be responsible for the dayto-day management and proper operation of your Bakery, and the Managers may not assist in any business which competes with your Bakery. The Managers must invest their full time and attention and devote their best efforts to the on-premises management of the Bakery. The Managers cannot have an interest or business relationship with any of our business competitors. The Managers need not have an ownership interest in the franchisee.

If the Managers are not already bound by the Franchise Agreement, we may require them to sign a noncompetition, non-solicitation and/or nondisclosure agreement in the form(s) prescribed by us.

What This Means (2025 FDD)

According to Cinnaholic's 2025 Franchise Disclosure Document, franchisees must maintain direct responsibility over their bakery. However, Cinnaholic does not require the franchisee to personally supervise the day-to-day operations. Instead, a manager who has successfully completed Cinnaholic's initial training program must be present at the bakery during operating hours.

The manager is responsible for the day-to-day management and proper operation of the Cinnaholic bakery. The manager must fully dedicate their time and attention to managing the bakery on-site and cannot be involved in any business that competes with Cinnaholic. The manager is not required to have an ownership interest in the franchise.

Cinnaholic may require the manager to sign a non-competition, non-solicitation, and/or non-disclosure agreement, even if they are not already bound by the Franchise Agreement. This agreement would prevent them from engaging in activities that compete with Cinnaholic, disclosing confidential information, or soliciting employees of Cinnaholic or its franchisees. Cinnaholic also requires each bakery to be open no less than 70 hours per week, as specified in the Operations Manual.
