Does Cinnaholic have any restrictions on activities it can engage in, according to the agreement?

According to the 2025 Cinnaholic Franchise Disclosure Document, Cinnaholic retains broad rights regarding its operations and is only restricted from activities it is expressly prohibited from taking under the agreement. Specifically, Cinnaholic reserves the right to establish and operate Cinnaholic bakeries or any other business using the Cinnaholic name and associated trademarks, service marks, and logos in any location, including within a developer's Area of Responsibility.

Cinnaholic also retains the right to develop, use, and franchise any trade names, trademarks, service marks, logos, emblems, signs, slogans, insignia, patents, or copyrights not designated as Marks for similar or different franchise systems, without granting the developer any rights. Furthermore, Cinnaholic can offer, ship, sell, and provide products or services identified by the Marks to customers located anywhere through any distribution channel, including grocery stores, the Internet, and delivery services, without compensating the developer, irrespective of the proximity to any established bakery.

Additionally, Cinnaholic has the right to own, operate, franchise, or license bakeries of any other type whatsoever operating under marks other than the Marks, even in close proximity to existing Cinnaholic bakeries. This means that a Cinnaholic franchisee's territory is not protected from other Cinnaholic ventures or other franchise systems owned by Cinnaholic. The agreement emphasizes that Cinnaholic can engage in any activity, action, or undertaking that it is not expressly prohibited from taking under the agreement, indicating a wide scope of permissible actions for the franchisor.
