What This Means (2025 FDD)

According to Cinnaholic's 2025 Franchise Disclosure Document, Cinnaholic is not required to participate in a franchisee's defense or indemnify them for damages or expenses if the franchisee is involved in legal proceedings related to Cinnaholic's confidential information. However, Cinnaholic may choose to reimburse a franchisee for their liability and reasonable costs associated with defending Cinnaholic's confidential information and other information in which they claim common law rights and copyright protection.

This means that if a franchisee is sued or faces legal action related to Cinnaholic's confidential information, Cinnaholic is not obligated to cover the franchisee's legal costs or any damages awarded against them. However, Cinnaholic retains the option to provide reimbursement for these costs at their discretion. This discretionary aspect introduces an element of uncertainty for franchisees, as they cannot rely on guaranteed financial support from Cinnaholic in such situations.

In the franchise industry, it is not uncommon for franchisors to retain the right, but not the obligation, to provide support in legal matters involving intellectual property or confidential information. Franchisees should carefully consider this provision and assess their own risk tolerance and financial capacity to handle potential legal challenges related to Cinnaholic's confidential information. It would be prudent for a prospective franchisee to discuss this matter further with Cinnaholic to understand the circumstances under which they might consider providing reimbursement for legal costs.
