What This Means (2025 FDD)
According to Cinnaholic's 2025 Franchise Disclosure Document, Cinnaholic is not required to participate in a franchisee's defense or indemnify them for damages or expenses if the franchisee is involved in an administrative or judicial proceeding involving Cinnaholic's confidential information. However, Cinnaholic may choose to reimburse the franchisee for their liability and reasonable costs in connection with defending Cinnaholic's confidential information and other information in which Cinnaholic claims common law rights and copyright protection. This reimbursement is not guaranteed and is at Cinnaholic's discretion.
This means that if a Cinnaholic franchisee is sued or faces legal action related to the use of Cinnaholic's confidential information, the franchisee will likely be responsible for their own legal defense and any associated costs. While Cinnaholic retains the option to provide financial assistance, franchisees should not rely on this possibility and should be prepared to handle such situations independently. This is a crucial point for prospective franchisees to consider, as legal battles can be expensive and time-consuming.
In the franchise industry, it is not uncommon for franchisors to have similar stipulations regarding legal defense and indemnification related to their intellectual property. Franchisees often bear the initial responsibility for legal costs, but the specifics can vary widely. Therefore, prospective Cinnaholic franchisees should carefully evaluate this aspect of the franchise agreement and consider obtaining legal counsel to fully understand their obligations and potential liabilities. Understanding the circumstances under which Cinnaholic might provide reimbursement, and documenting any such agreements, is also advisable.
