According to Cinnaholic's 2025 Franchise Disclosure Document, a General Release exists that addresses the relationship between the termination of a Franchise Agreement and the Development Agreement. This release, made effective on a specific date in 20--, involves Cinnaholic Franchising, LLC granting certain rights in connection with a transfer or renewal. In return, the franchisee agrees to release Cinnaholic from various liabilities and claims.
This General Release encompasses all past and present subsidiaries, affiliates, shareholders, owners, directors, officers, managers, members, partners, employees, agents, representatives, successors, and assigns of Cinnaholic. It covers any liabilities, damages, claims, demands, costs, expenses, debts, indemnities, suits, disputes, controversies, actions, and causes of action, whether known or unknown, fixed or contingent. These can arise from any prior or existing franchise relationship, development agreement, franchise agreement, or any other agreement executed related to any Cinnaholic Bakery.

Importantly, the General Release survives the assignment or termination of any franchise agreements or other documents between Cinnaholic and the franchisee. However, it does not waive rights that cannot be waived under applicable state franchise laws, nor does it relieve Cinnaholic from liability imposed by the Maryland Franchise Registration and Disclosure Law. The release is governed by the laws of Georgia, without regard to its conflicts of law provisions.

Prospective franchisees should carefully review the terms of the General Release and understand its implications before signing any agreements.
