What is the relationship between entering into the Cinnaholic Franchise Agreement and the Internet Listing Agreement?

According to Cinnaholic's 2025 Franchise Disclosure Document, a franchisee's agreement to enter into, comply with, and be bound by all the terms and provisions of the Internet Listing Agreement is a prerequisite for Cinnaholic to enter into the Franchise Agreement. This means that the Franchise Agreement is contingent upon the franchisee's acceptance of the Internet Listing Agreement. The Internet Listing Agreement outlines the terms related to the franchisee's interest in internet web sites and listings associated with the Cinnaholic bakery.

Upon termination of the Franchise Agreement, the franchisee is obligated to transfer all rights and interests in the Internet Web Sites and Listings to Cinnaholic. The franchisee must direct all Internet Service Providers, domain name registries, Internet search engines, and other listing agencies to transfer the franchisee's interest in such internet web sites and listings to Cinnaholic and execute any necessary documents to complete the transfer. Cinnaholic is granted power of attorney to take action and execute documents necessary to fulfill the Internet Listing Agreement's purposes.

Cinnaholic retains the right to decide whether to accept any or all of the Internet Web Sites and Listings. If Cinnaholic does not want the listings, the franchisee must terminate them as directed by Cinnaholic. After the transfer of interest in the internet web sites and listings to Cinnaholic, the franchisee has no further interest in or obligations under such listings, although they remain liable for any sums owed to Internet Companies for obligations incurred before the transfer date. The Internet Listing Agreement survives the termination of the Franchise Agreement, meaning its terms remain in effect even after the Franchise Agreement ends.
