What This Means (2025 FDD)
According to Cinnaholic's 2025 Franchise Disclosure Document, the General Release is a legal agreement where the franchisee releases Cinnaholic from potential liabilities and claims. In exchange for Cinnaholic granting certain rights related to franchise transfer or renewal, the franchisee agrees to release Cinnaholic and its affiliates from any past, present, or future claims arising from the franchise relationship. This includes, but is not limited to, claims related to the franchise agreement, development agreement, or any other agreement, as well as claims arising from contract, misrepresentations, or negligence.
This release covers a wide range of potential issues that could arise between the franchisee and Cinnaholic. It essentially prevents the franchisee from suing Cinnaholic over any matter related to their business relationship, up to the date of the release. The General Release survives any assignment or termination of franchise agreements.
However, the General Release does not act as a waiver of rights that cannot be waived under applicable state franchise laws, nor does it relieve Cinnaholic from liability imposed by the Maryland Franchise Registration and Disclosure Law. The agreement is governed by Georgia law, regardless of conflict of law provisions. Prospective franchisees should carefully review the General Release with a legal professional to fully understand its implications and ensure their rights are protected under state laws.
