What This Means (2025 FDD)

According to Cinnaholic's 2025 Franchise Disclosure Document, the General Release must be signed by the "undersigned." This refers to the party receiving rights from Cinnaholic Franchising, LLC, in connection with the operation, transfer, or renewal of a Cinnaholic facility.

In practical terms, the "undersigned" includes individuals and entities such as franchisees, their owners, and potentially other related parties who are granted rights by Cinnaholic. By signing, these parties unconditionally release Cinnaholic and its affiliates from various liabilities, claims, and actions arising from the franchise relationship or any other agreements. This release covers both known and unknown claims up to the date of the General Release.

The General Release survives any assignment or termination of franchise agreements between Cinnaholic and the signing parties. However, it does not waive rights that cannot be waived under applicable state franchise laws, nor does it relieve Cinnaholic from liabilities imposed by the Maryland Franchise Registration and Disclosure Law. The agreement is governed by Georgia law, without regard to its conflict of law provisions.

Prospective franchisees should carefully review the General Release with legal counsel to fully understand the scope of the liabilities they are releasing and the implications for their rights and obligations under the franchise agreement. Understanding the conditions under which the release is executed and its limitations is crucial for protecting their interests.
