What This Means (2025 FDD)
According to Cinnaholic's 2025 Franchise Disclosure Document, the term "Internet Web Sites and Listings" encompasses several digital assets related to a Cinnaholic bakery. These include domain names, hypertext markup language, uniform resource locator addresses, and access to corresponding Internet web sites. The definition also extends to the right to hyperlink to specific web sites and listings found on various Internet search engines.
For a prospective Cinnaholic franchisee, this definition is important because it clarifies what digital assets the franchisee may acquire and manage during the term of the Franchise Agreement. It also specifies that upon termination of the agreement, the franchisee is obligated to transfer all rights and interests in these "Internet Web Sites and Listings" to Cinnaholic Franchising, LLC. This transfer ensures that Cinnaholic maintains control over its brand's online presence and customer access points.
The franchisee is responsible for directing all Internet Service Providers, domain name registries, Internet search engines, and other listing agencies to transfer the Internet Web Sites and Listings to Cinnaholic. They must also execute any necessary documents to facilitate this transfer. This requirement is further reinforced by granting Cinnaholic a power of attorney to act on the franchisee's behalf to ensure the transfer or termination of these digital assets.
Cinnaholic also has the option to decline the transfer of any or all of the Internet Web Sites and Listings. In such cases, the franchisee is obligated to terminate the specified Internet Web Sites and Listings or take other actions as directed by Cinnaholic. This provision protects Cinnaholic's interests and ensures that the brand's online presence remains consistent and aligned with its overall strategy.
