You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.

Under the Franchise Agreement, we and our affiliates have reserved the right to establish anywhere franchises and/or company-owned or affiliate-owned bakeries or outlets selling similar products and providing similar services (including within your Franchise Territory) under names and symbols other than the Marks, even if these bakeries or outlets are near your Bakery.

Nevertheless, as of the date of this Disclosure Document, we have no present plans to exercise any of these rights.

Other bakery or restaurant concepts owned now or in the future by us or our affiliates may be established in close proximity to your Bakery.

Cinnaholic also reserves the right to establish franchises and/or company-owned bakeries or outlets selling similar products and providing similar services under names and symbols other than the Cinnaholic Marks, even within a franchisee's territory. While Cinnaholic states that, as of the date of the Disclosure Document, they have no present plans to exercise these rights, the possibility remains. Furthermore, other bakery or restaurant concepts owned by Cinnaholic or its affiliates may be established in close proximity to a franchisee's bakery.

This lack of an exclusive territory and the potential for competition from Cinnaholic itself is a significant factor for prospective franchisees to consider. While Cinnaholic will not operate a Cinnaholic bakery within a franchisee's territory (except at non-traditional locations) as long as the franchisee is in compliance with the Franchise Agreement, the broader competitive landscape is subject to change.
