What This Means (2025 FDD)

According to Cinnaholic's 2025 Franchise Disclosure Document, the negotiation of a Franchise Territory involves several factors that Cinnaholic may examine. These include population, traffic flow, the presence of businesses, the location of competitors (including other Cinnaholic franchisees), demographic data, and other market conditions. These factors are considered to determine the territory's potential and suitability for a Cinnaholic bakery. The Franchise Territory will be specifically described in the Franchise Agreement.

It's important to note that Cinnaholic does not grant exclusive territories, meaning franchisees may face competition from other franchisees, company-owned outlets, or other channels of distribution. The size of a Franchise Territory can vary, ranging from just the approved site of the bakery to an area of 1.5 miles around it. Bakeries in non-traditional locations like airports or malls will typically have their Franchise Territory limited to the site of the bakery.

Despite the non-exclusive nature of territories, Cinnaholic states that it will not operate a Cinnaholic bakery within a franchisee's Franchise Territory, nor authorize anyone else to do so, as long as the franchisee complies with the Franchise Agreement. However, Cinnaholic reserves the right to operate or develop Cinnaholic bakeries within the Franchise Territory at non-traditional locations. Franchisees are allowed to solicit customers and advertise anywhere they choose, with no restrictions on soliciting or advertising in another franchisee's territory, and no obligation to compensate other franchisees for doing so. Franchisees can also deliver products for catering services within a reasonable distance, up to 10 miles, from their bakery using ground transportation, even outside their Franchise Territory.
