Who benefits from the goodwill associated with a Cinnaholic franchisee's use of the mark?

Cinnaholic Franchise · 2025 FDD

Answer from 2025 FDD Document

You must follow the Franchise Agreement, the Operations Manual, our specifications, and directives when you use the Mark. The Mark is the only mark you may use to identify the Bakery. You may not use any Mark as part of any corporate or trade name or as part of any domain name or electronic address you maintain on the Internet, the worldwide web, or any other similar proprietary or common carrier electronic delivery system unless we expressly authorize you to do so in writing. You may not use the Mark in connection with the sale of an unauthorized product or service or in a manner not authorized in writing by us. Your use of the Mark and any goodwill is to our exclusive benefit and you retain no rights in the Mark other than a license to use the Mark during the terms of the Franchise Agreement.

What This Means (2025 FDD)

According to Cinnaholic's 2025 Franchise Disclosure Document, the goodwill associated with a franchisee's use of Cinnaholic's trademarks exclusively benefits Cinnaholic. While franchisees are granted a non-exclusive right to operate under the Cinnaholic name and use the authorized marks, they do not retain any rights to the goodwill generated through their use of the marks beyond the license granted during the term of the Franchise Agreement. This means that the reputation and positive associations built by a franchisee's efforts ultimately accrue to the benefit of Cinnaholic.

This arrangement is typical in franchising, where the franchisor owns the brand and its associated intellectual property. Cinnaholic franchisees are essentially building value for the Cinnaholic brand, which can increase the overall strength and recognition of the brand. The franchisee's use of the mark must adhere to the standards set by Cinnaholic in the Franchise Agreement, Operations Manual, and other directives. This ensures consistency across all Cinnaholic locations and helps maintain the brand's reputation.

Furthermore, the franchisee is prohibited from using the Cinnaholic mark in unauthorized ways, such as incorporating it into a corporate or trade name, domain name, or in connection with the sale of unauthorized products or services, without express written consent from Cinnaholic. This restriction reinforces Cinnaholic's control over its brand and prevents franchisees from leveraging the mark in ways that could dilute or harm its value. The franchisee's limited rights to the mark are confined to the duration of the Franchise Agreement, after which all rights revert back to Cinnaholic.
