Answer from 2025 FDD Document

to-day operations of the Bakery. During operations hours, a Manager who has successfully completed the initial training program described in Section 14.1 of the Franchise Agreement, must at all times be at your Bakery. The Managers must directly supervise and be responsible for the dayto-day management and proper operation of your Bakery, and the Managers may not assist in any business which competes with your Bakery. The Managers must invest their full time and attention and devote their best efforts to the on-premises management of the Bakery. The Managers cannot have an interest or business relationship with any of our business competitors. The Managers need not have an ownership interest in the franchisee.

If the Managers are not already bound by the Franchise Agreement, we may require them to sign a noncompetition, non-solicitation and/or nondisclosure agreement in the form(s) prescribed by us.

What This Means (2025 FDD)

According to Cinnaholic's 2025 Franchise Disclosure Document, managers are restricted from certain activities to protect the brand and ensure the bakery's proper operation. Specifically, Cinnaholic managers cannot assist in any business that competes with the franchisee's Cinnaholic bakery. This means they cannot work for or have any involvement with a competing bakery or food service business.

Furthermore, Cinnaholic managers must dedicate their full time and attention to managing the Cinnaholic bakery. They are expected to invest their best efforts in the on-premises management of the bakery. Managers also cannot have any business or financial interest in any of Cinnaholic's business competitors. This is to prevent conflicts of interest and ensure their loyalty remains with the Cinnaholic franchise.

To further protect Cinnaholic's interests, managers may be required to sign a noncompetition, non-solicitation, and/or nondisclosure agreement. This agreement would prevent them from engaging in activities that compete with any Cinnaholic bakery, disclosing confidential information or trade secrets, and soliciting employees of Cinnaholic or its franchisees. These measures ensure that managers are fully committed to the success of the Cinnaholic bakery and do not use their position to benefit competitors or harm the Cinnaholic system.
