What This Means (2025 FDD)

According to the 2025 Churchs Chicken Franchise Disclosure Document, the addendum for Illinois franchisees is attached to the Church's Texas Chicken Development Agreement. This addendum is an integral part of the Development Agreement and is incorporated into it. The reasons for the addendum's execution include the offer or sale of a franchise made in Illinois, the franchisee residing in Illinois, and/or the development area being located in Illinois.

The addendum modifies specific sections of the Development Agreement to comply with Illinois law. For instance, it adds a sentence to Section 23.A stating that Illinois law governs the agreement, and includes language from the Illinois Franchise Disclosure Act regarding jurisdiction, venue, and causes of action. These modifications ensure that the franchise agreement adheres to Illinois state regulations, providing franchisees with certain protections and rights under Illinois law.

Specifically, the addendum addresses legal aspects such as choice of law, venue, and the enforceability of certain provisions under the Illinois Franchise Disclosure Act. It clarifies that any provision designating jurisdiction or venue outside of Illinois is void with respect to actions enforceable in Illinois. Additionally, it states that any condition requiring a franchisee to waive compliance with the Illinois Franchise Disclosure Act is also void. These stipulations are crucial for Illinois franchisees as they ensure that disputes can be resolved within the state and that their rights under Illinois law are protected.
