What This Means (2025 FDD)
According to Churchs Chicken's 2025 Franchise Disclosure Document, the Guarantor provides a guarantee of the Developer's obligations under the Development Agreement. The Developer is the entity that obtains the rights to develop Churchs Chicken restaurants in a specific area. The Guarantor effectively promises that the Developer will fulfill all of its financial and operational responsibilities as outlined in the Development Agreement and related documents.
This arrangement is crucial for Churchs Chicken as it provides an additional layer of security. If the Developer, for any reason, fails to meet its obligations, Churchs Chicken can seek recourse from the Guarantor. This reduces the risk for the franchisor and ensures that there is a responsible party accountable for the Developer's performance.
For a prospective Churchs Chicken franchisee acting as a Developer, understanding the implications of the Guaranty Agreement is essential. If the Developer is a corporate entity, the franchisor may require a personal guarantee from the principal owners or officers. This means that these individuals would be personally liable for the corporation's obligations. The FDD states that all guarantors of Developer's obligations under this Agreement (on behalf of themselves and their heirs, representatives, successors and assigns) are considered "Developer Releasors".
Furthermore, the Guarantor is subject to certain covenants, including restrictions on involvement with competing fried chicken businesses during the term of the agreement and for a period of two years after its termination. These restrictions apply within the Development Area and a 5-mile radius of any existing Churchs Chicken restaurant. This ensures that the Guarantor's interests remain aligned with Churchs Chicken and prevents them from supporting competing ventures. The Guarantor also agrees to protect Churchs Chicken's trade secrets and confidential information, both during and after the agreement, reinforcing the franchisor's proprietary rights.
