Background Statement:
A. Chocolate Fish Franchising and its affiliate NZUS, Corp, have created and own a system (the "System") for developing and operating a specialty coffee shop featuring a hybrid business model which continues the imaginative and inventive business practices of our brand
offering caffeinated beverages, combining the highest quality drinks with a simple food menu and unrivaled customer service, under the trade name "Chocolate Fish Coffee".
- B. The System includes (1) methods, procedures, and standards for developing and operating a Chocolate Fish Coffee business, (2) plans, specifications, equipment, signage and trade dress for Chocolate Fish Coffee businesses, (3) particular products and services, (4) the Marks, (5) training programs, (6) business knowledge, (7) marketing plans and concepts, and (8) other mandatory or optional elements as determined by Chocolate Fish Franchising from time to time.
- C. The parties desire that Chocolate Fish Franchising license the Marks and the System to Franchisee for Franchisee to develop and operate a Chocolate Fish Coffee business on the terms and conditions of this Agreement.
ARTICLE 1. DEFINITIONS
- "Action" means any action, suit, proceeding, claim, demand, governmental investigation, governmental inquiry, judgment or appeal thereof, whether formal or informal.
- "Approved Vendor" means a supplier, vendor, or distributor of Inputs which has been approved by Chocolate Fish Franchising.
- "Business" means the Chocolate Fish Coffee business owned by Franchisee and operated under this Agreement.
- "Competitor" means any business which offers products or services the same or similar as the franchise brand.

What This Means (2024 FDD)
According to Chocolate Fish Coffee's 2024 Franchise Agreement, the System includes training programs. Specifically, the Chocolate Fish Coffee System encompasses methods, procedures, and standards for operating a Chocolate Fish Coffee business, along with plans, specifications, equipment, signage, trade dress, particular products and services, the Marks, business knowledge, marketing plans and concepts, and other mandatory or optional elements as determined by Chocolate Fish Franchising.
Chocolate Fish Coffee also provides assistance in training employees. Chocolate Fish Franchising will provide programs for franchisees to conduct training of new employees to the extent that Chocolate Fish Franchising deems appropriate.
Chocolate Fish Coffee also offers pre-opening training to the Principal Executive and up to one other team member. This training takes place at Chocolate Fish Franchising's headquarters or at a Chocolate Fish Coffee business designated by Chocolate Fish Franchising. No fee is charged for this training, but the franchisee is responsible for their own travel, lodging, meal, and other out-of-pocket expenses. Chocolate Fish Franchising reserves the right to change the length and content of the initial training program based on the experience and skill level of the individuals attending the program. Chocolate Fish Franchising also provides a representative to support the franchisee's business opening with one week of onsite opening training and assistance.
