Governing Law; Dispute Resolution.** This Guaranty shall be governed by and construed in accordance with the laws of the state of Wyoming (without giving effect to its principles of conflicts of law).
The parties agree that any Wyoming law for the protection of franchisees or business opportunity purchasers will not apply unless its jurisdictional requirements are met independently without reference to this Section 6.
The provisions of Article 17 (Dispute Resolution) of the Franchise Agreement apply to and are incorporated into this Guaranty as if fully set forth herein.

According to Chocolate Fish Coffee's 2024 Franchise Disclosure Document, the Guaranty shall be governed by and construed in accordance with the laws of Wyoming. This is without regard to Wyoming's principles of conflicts of law. This means that if there is a dispute regarding the Guaranty, Wyoming law will be applied.
This is important for prospective Chocolate Fish Coffee franchisees because the laws of Wyoming will dictate the interpretation and enforcement of the Guaranty, which is a legal document outlining the guarantor's obligations. The guarantor agrees that each covenant is independent of any other covenant or provision of the Guaranty or the Franchise Agreement. If any part of the covenants is held to be unenforceable, the parties intend for the court or arbitrator to modify the restriction to protect Chocolate Fish Franchising's business interests.
Furthermore, the guarantor's liability will not be affected by any amendments to the Franchise Agreement, extensions of time granted to the franchisee, or acceptance of partial payments. The guarantor also agrees that any claim they may have against Chocolate Fish Franchising will not be a defense against the enforcement of the covenants. If the guarantor fails to comply with their obligations, the restrictive period will be extended for each day of noncompliance. This ensures that Chocolate Fish Coffee has legal recourse in Wyoming should the guarantor not fulfill their obligations.
