What This Means (2024 FDD)

According to Chocolate Fish Coffee's 2024 Franchise Disclosure Document, Chocolate Fish Coffee can refuse a transfer if the proposed assignee is a competitor. Specifically, the document states that when a franchisee seeks to transfer their franchise, Chocolate Fish Coffee's consent is required.

Chocolate Fish Coffee may impose several conditions when granting consent for a transfer. One of these conditions is that "the proposed assignee is not a Competitor." This means that if the individual or entity seeking to take over the franchise is considered a competitor by Chocolate Fish Coffee, the transfer can be denied.

This provision protects Chocolate Fish Coffee's brand and business interests by preventing competitors from gaining access to their operational methods, customer base, and other proprietary information through the acquisition of an existing franchise. It also ensures that franchisees remain committed to the Chocolate Fish Coffee system and do not use their position to benefit a competing business. A prospective franchisee should carefully consider these restrictions on transfer, as they could limit the franchisee's exit options.
