What happens if Chocolate Fish Coffee and I cannot agree on a site?

According to Chocolate Fish Coffee's 2024 Franchise Disclosure Document, if you and Chocolate Fish Coffee cannot agree on a site for your franchise, you will not be able to fulfill your obligation to open the franchise by the deadline stated in the franchise agreement. Unless Chocolate Fish Coffee agrees to extend the deadline, this disagreement puts you in default of the agreement, and Chocolate Fish Coffee may terminate your franchise agreement.

Chocolate Fish Coffee does not select the site for you; instead, you propose a site that is subject to their approval. To get their approval, you must provide all required information and documents about the site. Chocolate Fish Coffee will review and advise you regarding potential locations that you submit. However, they are not obligated to further assist you in locating a site or negotiating the purchase or lease of the site.

The factors Chocolate Fish Coffee considers when approving sites include the general location and neighborhood, competition, trade area demographics, traffic patterns, parking, size, physical characteristics of existing buildings, and lease terms. Chocolate Fish Coffee has 30 days to approve or disapprove your proposed site after you submit all required documents and information. It is important to note that Chocolate Fish Coffee is not obligated to assist you in conforming the premises to local ordinances and building codes or obtaining required permits, as these responsibilities fall solely on you.
