What This Means (2024 FDD)
According to the 2024 Chocolate Fish Coffee Franchise Disclosure Document, franchisees are significantly restricted in their use of copyrighted materials. Article 12.1 explicitly states that franchisees can only use trademarks, service marks, and logos (collectively referred to as "Marks") that are specifically authorized by Chocolate Fish Coffee. This means a franchisee cannot use any other marks or copyrighted materials beyond what the franchisor approves for the operation of the business.
Furthermore, Chocolate Fish Coffee retains the right to modify or discontinue any of the approved Marks, and franchisees are obligated to comply with these changes at their own expense. This includes adopting new signage, marketing materials, or other branded items as directed by the franchisor. The agreement emphasizes that franchisees have no rights to the Marks beyond the limited right to use them in compliance with the franchise agreement, and all goodwill associated with the Marks ultimately benefits Chocolate Fish Coffee.
In practical terms, a prospective Chocolate Fish Coffee franchisee should understand that they have very little autonomy over the branding and marketing aspects of their business. They must adhere strictly to the franchisor's guidelines regarding the use of trademarks and other copyrighted materials. Any deviation from these guidelines could be a breach of the franchise agreement. It is important for potential franchisees to clarify with Chocolate Fish Coffee what specific marketing materials and branding assets they will be provided with and what, if any, opportunities exist for franchisee-initiated marketing efforts within the scope of the System Standards.
