If you sign a franchise agreement with us, you will develop and operate a specialty coffee shop featuring a hybrid business model which continues the imaginative and inventive business practices of our brand offering caffeinated beverages, combining the highest quality drinks with a simple food menu and unrivaled customer service, under the trade name Chocolate Fish Coffee. If you sign a Multi-Unit Development Agreement (attached as Exhibit C to this disclosure document), you will develop multiple Chocolate Fish Coffee outlets, on an agreed-upon schedule.
For each future unit franchise, we will require you to sign our then-current form of franchise agreement, which may be different from the form of franchise agreement included in this disclosure document.

What This Means (2024 FDD)
According to the 2024 Chocolate Fish Coffee Franchise Disclosure Document, the franchise offering includes a Franchise Agreement. The document states that if you sign a franchise agreement with Chocolate Fish Coffee, you will develop and operate a specialty coffee shop under the Chocolate Fish Coffee trade name. The Franchise Agreement is made between Chocolate Fish Franchising, LLC and the Franchisee, and is effective as of the date signed by Chocolate Fish Franchising.
The Franchise Agreement licenses the Chocolate Fish Coffee marks and system to the franchisee for the purpose of developing and operating a Chocolate Fish Coffee business. The system includes methods, procedures, and standards, plans, specifications, equipment, signage, trade dress, particular products and services, the marks, training programs, business knowledge, marketing plans and concepts and other mandatory or optional elements as determined by Chocolate Fish Franchising from time to time.
The franchisee is required to develop, open, and operate a Chocolate Fish Coffee business at the specified location for the entire term of the agreement. If a Multi-Unit Development Agreement (MUDA) is signed, the franchisee must also execute Chocolate Fish Franchising's current standard form of franchise agreement no later than three business days after the franchisee leases or acquires a location for each additional Chocolate Fish Coffee franchise.
