What This Means (2024 FDD)

According to Chocolate Fish Coffee's 2024 Franchise Disclosure Document, Chocolate Fish Franchising benefits exclusively from the goodwill associated with the Marks. The Marks are the trademarks, service marks, and logos that franchisees are authorized to use when operating their Chocolate Fish Coffee business.

This means that while a franchisee's efforts may contribute to building brand recognition and a positive reputation for Chocolate Fish Coffee, the resulting goodwill legally belongs to Chocolate Fish Franchising. The franchisee only has the right to use the Marks in compliance with the Franchise Agreement, and they do not gain any ownership or equity in the Marks themselves.

This is a standard practice in franchising. It ensures that the brand maintains a consistent image and value across all locations, and that the franchisor retains control over the brand's reputation. Upon termination of the franchise agreement, the franchisee must cease using the Marks, and the goodwill built during the franchise term continues to benefit Chocolate Fish Franchising. This is further reinforced by the requirement that the franchisee cannot use 'Chocolate Fish Coffee' or similar words in its legal name if the franchisee is an entity.
