What This Means (2025 FDD)

According to Chesters's 2025 Franchise Disclosure Document, franchisees must adhere to specific standards and specifications when purchasing food items and equipment. Franchisees are required to purchase all food items, ingredients, equipment, furnishings, supplies, materials, and other items used or offered for sale at the Restaurant only from suppliers that meet Chesters' current standards and specifications as detailed in the Manuals. These suppliers must also demonstrate adequate quality controls and the capacity to reliably and promptly meet the franchisee's needs, and they must be approved by Chesters.

Chesters retains the right to modify required product offerings and equipment specifications, including mandating the use of the Chester's POS System, with changes taking effect upon notification to the franchisee. For trade secret or proprietary food products and other branded items, Chesters has the right to limit suppliers to themselves, their affiliates, or other exclusive sources, from whom franchisees must then acquire these items at prices set by Chesters or its designated sources.

Furthermore, franchisees are responsible for developing the Restaurant in compliance with the Chesters System, ensuring that all plans and specifications meet Chesters' requirements, applicable laws, and lease requirements. All plans and specifications must be submitted for review and approval before development begins. Franchisees must buy or lease all required fixtures, furniture, equipment, and signs for the Restaurant, as well as an opening inventory of required and authorized products, materials, and supplies. Failure to comply with these sourcing and specification standards may lead to Chesters instructing suppliers or distributors to temporarily discontinue product orders and deliveries until compliance is achieved.
