Does Chesters have the right to review and approve a franchisee's advertising and promotional materials?

Chesters Franchise · 2025 FDD

Answer from 2025 FDD Document

You must advertise the Restaurant, at your own expense, on a reasonable number of DOT signs on nearby interstates. However, if no such DOT signs are available for such advertising activities as of this Agreement's Effective Date, you need not conduct this type of advertising until the DOT signs become available. We and you periodically will discuss and reasonably determine the availability of DOT signs for advertising. Regardless of where you operate your Restaurant, we may review and approve (or disapprove) all advertising and promotional materials you propose to use that we have not prepared for CHESTER'S Restaurants and sent you (and for which we charge you the fees specified in Section 5(b) above). You may not use any advertising or promotional materials that we have not approved or have disapproved. You may not develop, maintain, or authorize any website that mentions the Marks. You may not misrepresent Chester's products in any advertising, including representing or giving a reasonable person the reason to believe that Chester's products are Halal or Kosher whether or not any component of a Chester's product may be considered Halal or Kosher.

What This Means (2025 FDD)

According to Chesters's 2025 Franchise Disclosure Document, Chesters has the right to review and approve a franchisee's advertising and promotional materials. Chesters may review and approve (or disapprove) all advertising and promotional materials that the franchisee proposes to use that Chesters has not prepared for CHESTER'S Restaurants and sent to the franchisee. The franchisee may not use any advertising or promotional materials that Chesters has not approved or has disapproved. The franchisee may not develop, maintain, or authorize any website that mentions the Marks and may not misrepresent Chester's products in any advertising.

This level of control over advertising is common in franchising, as it allows Chesters to maintain brand consistency and protect its trademarks. By requiring franchisees to use only approved advertising materials, Chesters can ensure that the brand's image and message are consistent across all locations. This can be beneficial for franchisees as well, as they can leverage the established brand recognition and marketing expertise of Chesters.

However, this also means that franchisees have limited autonomy in their local marketing efforts. They cannot create their own advertising campaigns or promotions without Chesters's approval. This could be a disadvantage for franchisees who want to target specific local markets or experiment with new marketing strategies. Prospective franchisees should consider this restriction and evaluate whether it aligns with their entrepreneurial goals and marketing preferences.
